End User Licence Agreement
This End User Licence Agreement ("Agreement") is between you ("Licensee") and Gajentis ("Licensor"), a sole trader based in the United Kingdom, for use of the MIDI Oracle software ("Software").
By installing or using the Software, you agree to be bound by this Agreement.
1. Grant of licence
Subject to the terms of this Agreement, Gajentis grants you a personal, non-exclusive, non-transferable licence to install and use the Software on up to two (2) machines that you own or control.
2. Editions and features
The Software is available in two editions — Muse and Oracle — each with a defined feature set. Your licence key determines which edition and features you may access. Attempting to circumvent feature restrictions is a breach of this Agreement.
3. Trial licence
A trial licence grants access to all Oracle features for three (3) calendar days from the date of first activation.
The trial period is measured against the system clock at the time of each activation. If the Software detects that the system clock has been moved backwards in a manner consistent with an attempt to extend the trial period, it will deactivate the licence automatically. This is a protective measure, not a penalty — any remaining trial time is preserved and the licence can be reactivated immediately. Any deliberate attempt to extend the trial period by manipulating the system clock or by any other means is a breach of this Agreement.
4. Lifetime licence
A paid licence is a one-time, perpetual licence to use the version of the Software current at the time of purchase, and all subsequent updates released during the same major version (for example, a licence purchased for version 1.x covers all 1.x releases). A lifetime licence does not entitle you to major version upgrades unless explicitly stated at the time of purchase.
5. No-refund policy
Because a fully functional trial is provided free of charge before purchase, all licence purchases are final and non-refundable. Please evaluate the Software carefully during the trial period before purchasing.
Refunds will not be issued for any reason, including but not limited to:
- Purchasing a licence without first completing the free trial.
- Purchasing a licence without realising that a separate, funded account with a supported AI provider (OpenAI, Anthropic, Azure OpenAI, or OpenRouter) is required to use the Software. This requirement is stated clearly on the purchase page.
- Dissatisfaction with AI-generated output, which depends entirely on the model and instructions used.
- Incompatibility with a REAPER version, operating system, or AI provider not listed as supported.
- A change of mind after purchase.

6. Restrictions
You may not:
- Copy, distribute, sell, sublicense, or transfer the Software or your licence key to any third party.
- Decompile, reverse-engineer, or disassemble the Software.
- Use the Software on more machines than permitted by your licence.
- Remove or alter any copyright or proprietary notices.
- Assign, transfer, or attempt to transfer this Agreement or any rights under it to any other person or entity.
7. Support
Gajentis may, at its sole discretion, provide support via email or other channels. Support is provided on a best-efforts basis with no guaranteed response time. Gajentis reserves the right to limit, modify, or discontinue support at any time without notice.
8. AI provider requirement
The Software requires an active, funded account with a supported AI provider (OpenAI, Anthropic, Azure OpenAI, or OpenRouter) in order to function. This is a prerequisite that exists independently of your MIDI Oracle licence and is clearly stated prior to purchase. The cost of AI API usage is borne entirely by you and is separate from the MIDI Oracle licence fee.
By purchasing a licence, you confirm that you have read and understood this requirement. Failure to have a suitable AI provider account in place before or after purchase is not grounds for a refund.
You are responsible for complying with your AI provider's terms of service. Gajentis is not responsible for the output of any AI model, for any costs incurred through your use of an AI provider's API, or for any interruption, change, or discontinuation of any AI provider's service.
9. REAPER integration API
The Software integrates with REAPER (produced by Cockos Incorporated) through the ReaScript API, a publicly available programming interface maintained solely by Cockos Incorporated and entirely outside of Gajentis’s control. Updates to REAPER may alter, restrict, or remove API features that the Software depends on, which may result in the temporary or permanent loss of some or all functionality.
Gajentis commits to monitoring REAPER releases and issuing compatibility updates wherever this is technically possible. However, because the integration layer is a third-party interface over which Gajentis has no control, any loss of functionality arising from REAPER API changes is not grounds for a refund or any other remedy.
10. Intellectual property
The Software and all associated materials remain the exclusive property of Gajentis. This Agreement does not transfer any ownership rights. MIDI output generated using the Software is yours — Gajentis makes no claim over content you create.
11. Warranty disclaimer
The Software is provided "as is" and "with all faults" without warranty of any kind, express or implied. Gajentis does not warrant that the Software will be error-free or meet your specific requirements. Should the Software prove defective, you assume the entire cost of all necessary servicing, repair, or correction.
12. Limitation of liability
To the maximum extent permitted by law, Gajentis shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Software. Our total liability shall not exceed the amount you paid for your licence.
13. Termination
This Agreement is effective until terminated. It will terminate automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.
14. General provisions
Right to modify. Gajentis reserves the right at any time to modify the Software's features, pricing, licensing terms, or general availability, and to discontinue the Software or support for it.
Severability. If any provision of this Agreement is found to be illegal, invalid, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Entire agreement. This Agreement constitutes the entire agreement between you and Gajentis in relation to the Software and supersedes all prior agreements and understandings, whether written or oral.
15. Governing law
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
